Terms of Service

These terms govern your use of Recoup, operated by Zrionix Technology, Inc. (“Recoup,” “we,” “us”). By connecting your Square account or using the service, you agree to them.
1. The service
Recoup recovers failed and overdue payments for businesses that use Square. On your authorization, it retries declined card-on-file charges, sends dunning emails, and provides hosted card-update pages.
Recoup acts on your behalf and only within the scope of the Square permissions you grant. You remain the merchant of record for every charge; Recoup does not take custody of your funds.
2. Accounts and your Square connection
You must provide accurate account information and keep your credentials secure. You are responsible for activity under your account.
You authorize Recoup to access and act on your connected Square account via OAuth. You can revoke that access at any time from your Square dashboard or ours; doing so stops all recovery activity.
You represent that you have the right to charge the cards on file for the amounts you configure, and that your use complies with Square’s terms and applicable card-network rules.
3. Fees and billing
Paid plans are billed monthly in advance through our payment processor. Recoup charges a flat subscription fee and takes no share of recovered revenue. Fees are non-refundable except where required by law.
You can cancel at any time; cancellation stops future billing and takes effect at the end of the current period.
4. Acceptable use
You agree not to use Recoup to charge cards without authorization, to send unlawful or deceptive communications, to violate card-network or anti-spam rules, or to interfere with the service’s operation or security.
We may suspend or terminate accounts that we reasonably believe violate these terms or create risk for us, your customers, or the payment networks.
5. Your data
You retain ownership of your data. We process it to provide the service, as described in our Privacy Policy. We never store full card numbers — cards are tokenized by Square.
6. Disclaimers and liability
Recoup is provided “as is.” We do not guarantee any particular recovery rate or outcome. Payment recovery depends on factors outside our control, including issuer behavior and your customers.
To the maximum extent permitted by law, our total liability for any claim relating to the service is limited to the fees you paid us in the twelve months before the claim.
7. Termination
You may stop using Recoup and disconnect Square at any time. We may terminate or suspend the service for non-payment, violation of these terms, or as required by law. On termination we cease recovery activity and, on request, help you export your data.
8. Changes
We may update these terms from time to time. Material changes will be posted here with a new “last updated” date; continued use after a change means you accept it.
